1. Acceptance of Terms

By accessing and using the services provided by Cellurific (“Company”, “we”, “us”, or “our”), including our dealer portal, you accept and agree to be bound by the terms and provision of this agreement. These terms apply to all visitors, dealers, and others who access or use the Service.

2. Dealer Responsibilities & Compliance

As an authorized dealer partner, you agree to:

• Accuracy: Provide accurate and complete customer information during all activation and financing processes.
• Carrier Compliance: Strictly adhere to all policies, codes of conduct, and guidelines set forth by our carrier partners (Telus, Bell, Koodo, etc.).
• Fraud Prevention: Exercise due diligence to prevent fraudulent activations. Cellurific reserves the right to suspend accounts suspected of fraudulent activity immediately.
• Account Security: Maintain the confidentiality of your portal credentials. You are responsible for all activities that occur under your account.

3. Commissions & Payments

Commission payouts are subject to the terms outlined in your specific Dealer Agreement. Payouts are contingent upon:

• Successful activation and retention of the subscriber line for the minimum period defined by the carrier (Clawback Period).
• Compliance with all documentation requirements.
• Cellurific reserves the right to withhold or reverse commissions (chargebacks) for early cancellations, fraud, or non-compliance.

4. Intellectual Property

The Cellurific Dealer Portal, its original content, features, and functionality are owned by Cellurific and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, or create derivative works without express written permission.

5. Limitation of Liability

In no event shall Cellurific, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

6. Termination

We may terminate or suspend your dealer account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or engage in activities that harm the reputation of Cellurific or its carrier partners.
